Axson Technologies has annual sales of just over $74 million with over 360 employees and supplies a wide range of epoxy and polyurethane formulations. Axson Technologies became an independent company in 1994 and began setting up facilities in countries that needed design, prototyping and tooling, structural adhesives, composite materials and encapsulation products for the automotive, aeronautical, nautical, renewable energy, sports & leisure and construction markets.

By acquiring Axson Technologies, Sika is increasing its product offering and expertise in the Tooling and Composites business. The main technologies used are polyurethane and epoxy, which will further complement and advance the future product offerings.

The transaction is subject to conditions including anti-trust approvals in certain jurisdictions as well as consultations with employee representatives.

Meanwhile a legal battle looks to be hotting up as the Swiss epoxy manufacturer resisted a takeover attempt by Cie. de Saint-Gobain SA. Members of the company’s founding family were blocked in their attempts to use their majority voting powers to sell to the French company for $3.1 billion.

in a press release earlier in the month the company announced;

We can confirm that a meeting between representatives of Sika and Saint-Gobain took place today in Zurich. Sika entered this meeting in good faith and was expecting constructive discussions. However, Saint-Gobain continues to ignore the detrimental effects of the transaction on Sika and its shareholders. The concerns of Sika’s shareholders, Sika Management and Board are not taken serious. Furthermore, we distance ourselves from any claim made by Saint-Gobain that we have a joint view on possible synergies or any other aspect of the transaction. Sika will continue to act in the interest of its shareholders and other stakeholders.

In a statement by the Baar-company, the Burkard family’s vote should be limited to 5% and doesn’t have the right to arrange extraordinary general meetings. The family wants to oust current Sika chairman along with board members and agreed in December to sell its 16.1% equity stake and over 50% voting control to the french company.

Bloomberg are reporting that a shareholder group which includes the Bill & Melinda Gates Foundation moved last week to block the sale, calling for a probe to see whether non-public information had been used, which will increase the chance of a long drawn out legal battle.

The company’s share price rose over 4% with analysts predicting that the probability of the deal falling through increased to around 70%. Board members are saying that the deal will threaten the growth of the company and that these negotiations have damaged a century-old relationship with the founding family.

The Burkard family is angered by Sika management’s resistance to the deal, and has filed a legal motion to push forward with a shareholder meeting where they could possibly oust board members who oppose the transaction.

Sika have announced the launch of a new epoxy resin family which boasts greater performance in high temperatures. The new resin is accompanied by 4 new hardeners all offer similar properties but with working times ranging from 60 to 210 minutes.

The new system named CR132 can reach temperatures of over 130°C when properly cured. Due to this they are suitable for the production of dark painted aircraft. Despite solar heating on the aircraft skin due its dark paint, the system will still perform to a high standard and be thermally stable.

Biresin CR132 resin is a hand laminating base system with 3 hardeners (Biresin CH132-2, -5, -7), all of which offer similar properties but have varying pot lives, from 60 to 210 minutes, allowing for efficient production of different size parts.

Based on the properties of the base CR132 epoxy resin and using the building block principle, two further resins have been developed. Biresin CR132 FR that with the existing hardener Biresin CH132-2, is a special flame retardant (=FR) matrix. This can be used, for example, in the production of cowlings and fireproof bulkheads via hand lamination. This system, CR132FR/CH132-2, achieved a V-0 rating when tested according to the UL94 vertical flammability test. The final resin system uses a different resin, Biresin CR131, which allows for processing via vacuum infusion. This resin with the hardeners CH132-5 and -7 plus another hardener CH135-4 can then be used to produce composites via the infusion process to achieve even higher material performance than those made by hand laminating.
